Qosmic — Terms of Service

These Terms of Service ("Terms") govern your use of the Qosmic app (the "App"), distributed through the Shopify App Store by Qosmic Inc. ("Qosmic", "we", "us"). By installing or using the App you agree to these Terms.

1. Eligibility

You must be authorized to install apps on a Shopify store. If you're installing on behalf of a business, you warrant that you have authority to bind that business.

2. The service

Qosmic provides software for ecommerce audits, analytics, AI-assisted growth recommendations, experiment planning, and related workflows. Qosmic can help analyze a store and draft recommendations, but you are responsible for deciding what to publish, launch, or rely on. We do not make irreversible store changes without your explicit approval through the App.

3. Acceptable use

You will not:

• Use the App to audit storefronts you do not own or have permission to audit.
• Attempt to reverse engineer, resell, or rebrand the App.
• Load-test or DOS the App's endpoints.
• Publish experiments that violate Shopify's Acceptable Use Policy or applicable law.
• Misrepresent AI output as guaranteed financial, legal, or professional advice.

4. Subscription and billing

Some Qosmic features may be free, in beta, or paid. If you start a paid plan through Shopify or another billing flow, the pricing and billing terms shown at checkout apply. You are responsible for taxes, store charges, and any third-party fees connected to your use.

5. Experiments and storefront runtime

You are solely responsible for the experiments you approve and publish. We provide the runtime and the scoped hiding / anti-flicker defaults, but you control the variant copy, targeting, and rollout percentage. Qosmic is not liable for:

• Lost conversions during an experiment.
• Copy that turns out to be legally non-compliant in your jurisdiction.
• Theme edits you make manually outside the App.

Qosmic's current posture is human-in-the-loop: the product may recommend work, draft changes, or prepare plans, but merchants remain responsible for approval before irreversible store changes.

6. Service levels

Qosmic may change, pause, or discontinue features. Beta or preview functionality may be unstable, limited, or removed. We try to avoid disruptions, but we do not guarantee uninterrupted availability.

7. Data processing

Our Privacy Policy at /legal/privacy explains what we collect and how we handle it. If you need a Data Processing Addendum, email gabriel@qosmic.ai.

8. Intellectual property

• Your content. You retain all rights to your storefront content and any reports, variants, or configurations you create using the App. You grant us a limited license to process them as needed to provide the App.
• Our service. The App, its source code, the audit engine, and all scoring logic remain the property of Qosmic Inc.

9. Warranty disclaimer

The App is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific lift, conversion rate improvement, or revenue outcome.

10. Limitation of liability

To the fullest extent permitted by law, Qosmic's aggregate liability for any claim arising from the App is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may uninstall the App at any time from the Shopify Admin. We may terminate your access for breach of these Terms with reasonable notice (immediately for fraud, abuse, or legal violations).

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts of Delaware.

13. Changes

We will announce material changes to these Terms at least 30 days in advance by email to the merchant's account owner.
